Munch Ado Program

The Munch Ado Restaurant Program (“Munch Ado Program”) is designed to incrementally and continuously improve your business by allowing you to increase engagement with your customers in order to increase revenues to your restaurant (“Restaurant”). The Munch Ado Program provides you with:

Cost: $2500 cost per month per location (with a one-time set up fee of $2500 per location)

Social Media:

    A social media presence that represents your brand and reflects your unique restaurant story, food, and décor. We:
  • Manage and/or create social media activities for Restaurant (Facebook & Instagram) – creating and posting twice daily on each platform, to help grow Restaurant’s customer base. We will post a live video four (4) times per month
  • Monitor, respond to, and address reviews, as well as answer questions, concerns, and customer service issues on these social media sites.
  • Provide monthly content calendars for Restaurant’s social media accounts. These calendars will show all content to be posted during the month. Restaurant may provide reasonable feedback, suggestions, or additional comments.
  • Manage Restaurant’s internet review sites (Yelp, Trip Advisor) where such accounts exist or, if Restaurant desires, Munch Ado can establish those accounts. Monitor, respond to, and address reviews on these sites
  • Management of Google Business Listing: review and update Restaurant information and monitor and respond to customer reviews.
  • Obtain an additional 3,500 followers across all social media platforms over the first year of the contract.

Marketing & Engagement:

    Sophisticated marketing to drive awareness and engagement to your website and social media. We:
  • Generate eight to 10 (8 - 10) marketing campaigns per quarter (at least six (6) of which will be video marketing) for the Restaurant. We will target, on average, 10,000 video impressions per month. Impressions are individual views or displays of a particular ad. Once approved by Restaurant, the messages/offers will be shared via social media advertising, display advertising, Google Pay-Per-Click, and/or email depending on Restaurant’s specific needs and situation, as determined by Munch Ado.
    1. Also provide eight (8) email newsletters per quarter.
    2. Yelp ads will contain an "Order Now" button that is directly linked to Restaurant's website.
  • Optimize and re-market the campaigns during their duration
  • Provide an enhanced Yelp Profile to include a photo slideshow, a Call to Action button designed to direct consumers' next step, and a video. Enhanced Profiles also include the removal of ads purchased by nearby businesses from your Yelp Business Page.
  • Provide an enhanced TripAdvisor listing to include a customized storyboard (highlights of restaurant, photos etc.), featured top 3 reasons to visit restaurant, highlighted review and a Call to Action button for ordering delivering traffic to your website and not a third-party vendor.
  • Provide social media marketing management and 24/7 support for the messages/offers.
  • Provide Restaurant with six (6) digital flyers per quarter.


    A multi-channel, digital experience that is fully branded and conveys your Restaurant story. We will
  • Build Restaurant a premier, branded, mobile-ready, e-commerce website with multiple pages and customized sections. The site will also have an intuitive and distinct mobile experience specifically designed for small screens.
  • Website will have full e-commerce capability for Restaurant (delivery/takeout orders and reservations), if such services are already provided by Restaurant, using Munch Ado's back-end technology.
  • Not charge commission on orders. All orders processed through the website will only have a flat credit card processing fee of 2.5%.
  • Munch Ado is in the process of developing a restaurant loyalty program. Once this program is finalized, Restaurant will have the option to enroll in the co-branded loyalty program which will benefit Restaurant’s customers.
  • Delivery Note: If Restaurant requires delivery, Munch Ado partners with a third-party delivery service who can provide this service for an additional, per delivery fee. Munch Ado will send Restaurant all delivery fees and tips collected through the website.


    Visual and written content that illustrates your restaurant story and is the core of your online message. We will:
  • Create custom content for Restaurant to promote it online through marketing, ecommerce, and social media.
    1. Content includes photography shoots once per month (min 100 images) to appear on your website and social media accounts, a video to appear on your website, and live social media videos twice per month.
  • Communicate weekly with Restaurant’s point of contact for updates, specials, events, and Restaurant happenings.


    A report to collate and analyze customers' interactions and their preferences and purchases. We will:
  • Provide Restaurant with monthly detailed reports of transactions between the Restaurant and its customers: orders, bookings and revenue on a live dashboard
  • Provide deep analysis into site visitors, source of traffic, new vs. returning visitors, and engagement time
  • Provide analysis on the marketing campaigns.
  • Provide detailed monthly reports on social media engagement – number of posts, people reached, engagements, and followers gained

Program Terms and Conditions

  1. Term: This agreement will be for a one (1) year period, commencing when the Restaurant marketing goes live ("Effective Date"), and will then automatically renew on a month-to-month basis. The monthly fee for the sixth (6) month and the twelfth (12) month after the Effective Date will be waived, solely for the initial one-year term. The monthly fee may increase after this initial one-year term.
  2. Termination: This agreement may be terminated by either party with 30-days' written notice one (1) year after the Effective Date. At termination, the Restaurant website will remain online without any Munch Ado functionality, all e-commerce functionality will be disabled, and all marketing and social media management will cease. Social media passwords, login information and credentials will be turned over to Restaurant within forty-eight (48) hours of termination of this agreement. Restaurant may receive their Munch Ado website upon termination only if Restaurant has contracted with Munch Ado for a period of at least one (1) year. If Restaurant wants their original, preMunch Ado website online, Munch Ado will change the DNS back to their original IP address. Munch Ado disclaims all responsibility for the functionality of the original site and is not liable for any changes or damages that occurred to said original site.
  3. Payment: Munch Ado will charge Client the set-up fee today and monthly charges commence when marketing goes live. Thereafter charges will be made monthly on the anniversary of the date of the marketing going live. Upon Restaurant's request, the monthly charges can be split in to 2 or 3 payments per month.
  4. Chargebacks: Munch Ado will be responsible for chargebacks that concern fraud/alleged fraud/system errors. Restaurant is responsible for chargebacks, beyond a de minimis amount as reasonably determined by Munch Ado, that concern customer service issues (cold food, missing items, undelivered orders, etc.).
  5. Tablet: Restaurant is responsible for its tablet and will be charged the full replacement cost ($165) if the tablet is damaged. Tablet replacement will take five to six (5-6) days and Restaurant will be charged the replacement cost to its account.
  6. Data: All customer data (customer lists and their on-site behavior) belongs to Restaurant. Such customer data will not be sold and will only be used by Munch Ado for business purposes.
  7. Marketing: The Program marketing and social media activity is based on a quarterly average and there may be fluctuations in the number of posts, impressions, etc. over the course of the Term
  8. Non-Refundable: Under no circumstance will payments already received by Munch Ado be refunded.
  9. The IAB Standard Terms and Conditions Version 3.0 are incorporated herein by reference (http://www.aaaa.org/news/bulletins/Documents/2010InternetTsCsv30FINAL.pdf).
  10. Restaurant Delays: In the event Restaurant delays in proving the required assets or sending information necessary for Munch Ado to commence and/or complete the Project in a timely fashion, Munch Ado will not be responsible for delivering the Project according to any communicated schedule. Based upon the length of the delay in receipt of the necessary information by Munch Ado, Munch Ado will recalculate the estimated completion date of the Project and notify the Restaurant. Under no circumstances shall Munch Ado be liable for any resulting delays. If Restaurant fails to provide the required assets or information within two (2) weeks of the welcome meeting, Munch Ado may begin charging Restaurant its monthly fee one (1) month after the signing date.
  11. Point of Contact: Restaurant will designate a point of contact (“Contact”). Such Contact will solely be responsible for approving all content plans. Should Restaurant wish to change such Contact, Restaurant shall promptly inform Munch Ado in writing.


This Agreement is between Munch Ado, Inc. (“Munch Ado”, “We”, “Our,” or “Us’), located at 245 Fifth Avenue, 10th floor, New York, NY 10016 and You. Munch Ado creates e-commerce capable websites for restaurants (“Websites”) and provides marketing and advertising services for restaurants (together with Websites, the "Program"). Through the Websites, users (the “Users”) can order food for delivery, and/or pick-up/takeout, and/or make reservations for dining in at various restaurants.
Both parties wish to enter into this mutually non-exclusive Agreement, which means that We can enter similar agreements with other restaurants and You can enter into similar agreements with other service providers. We will create a Website for You to enable Users to order food from or make reservations at your restaurant and promote your restaurant through the Program. Therefore, for good consideration, both parties agree as follows:
  1. Our Responsibilities: :
    1. We will create a Website for You so that users can order food from You and/or make reservations at your Restaurant. The Program will also allow You to offer coupons and deals to users. Your Website will state that it is "Powered by Munch Ado." We will also list your restaurant on our website which also enables customers to place orders with your restaurant.
    2. We will provide You with a Munch Ado dashboard to receive and confirm orders and reservations as well as create coupons and deals (the “Dashboard”).
    3. If you choose, a third-party delivery service can provide delivery to users that order food through Program for a fee. Delivery is not part of the Program and is not provided by Munch Ado.
    4. You are responsible for providing Us updated information on your restaurant and menu and based on that updated information We will keep your information updated on the Program.
    5. We shall comply with all applicable federal, state, and local laws.
  2. Your Responsibilities:
    1. You agree to be part of the Munch Ado digital platform. You agree to accept orders and/or reservations from users via the Dashboard or by fax depending on what services You offer (delivery, takeout, and/or reservations). If You desire, Our team can train You to use the Dashboard.
    2. Once You accept an order from a consumer via the Dashboard or by fax, You must deliver the food or have the food ready for pick up in a timely fashion. If You are unable to do so, You must inform Us immediately by emailing Us or calling Us (contact info at the bottom of this page). If You make a partial or incomplete delivery, You must immediately use your best efforts to complete the order. If You are unable to complete the order in a reasonable period of time, You agree to refund the user the amount charged for the entire order.
    3. Once You confirm a reservation via the Dashboard, You must make seats available in your restaurant for users as per the reservation criteria. If for some reason You are unable to do so, You must inform Us immediately by emailing Us or calling Us.
    4. You agree to be on Our payment platform as per the payment information above.
    5. You agree to keep your menu, images and other information accurate and updated and agree to keep Us current by providing the updated information. Your menu pricing will be at least as favorable as on your own delivery menu or what You offer to a third-party service provider.
    6. You agree to comply with Our terms of use and privacy policy in place from time to time located at www.munchado.com/terms and www.munchado.com/privacy.
    7. You agree that if your food, service, action, premises etc. cause injury to any third-party, You will solely be responsible for such claims
    8. You agree that payment and collection of all relevant taxes will be your responsibility.
    9. You agree to comply with all applicable federal, state, and local laws.
  3. Content. We will own all the content that We provide or create (“Our Content”) and You will own all the content that You provide (“Your Content”). For the term of the contract, You agree to give Us a royalty-free, worldwide nonexclusive license so that We can use, reproduce, publicly display, and publish Your Content including your logos, menus and images. You represent that Your Content does and will not violate any third party’s rights. We give you a royalty-free license to use, reproduce, publicly display, and publish Our Content for purposes related to your restaurant; however, you may not use Our Content on any other delivery, ordering, or reservation website. At the termination of this Agreement, You will own your website and We give you a royalty-free license to utilize the content We created which is contained therein. Upon termination, the Program will cease and all e-commerce functionality for your website will be removed and it will no longer be updated. You may not use, reproduce, publish, display, or sell Our Content outside of the scope above. You also may not use, reproduce, publish, or display comments, reviews and/or content generated by users of our website related to You or your Website without Our prior written consent. This section shall survive the termination of this Agreement.
  4. Representations. You and We each represent that each has the right and authority to enter into this Agreement and that neither is under any restriction that would interfere with the obligations undertaken by either under this Agreement.
  5. Our Promises and Limitation of Liability.
    1. We are not making any other promises that are not expressly stated in this Agreement.
    2. We do not guarantee that by entering into this Agreement, any specific amount of business will be generated for You or that any specific number of users will be directed to your website or restaurant.
    3. User Content: We only facilitate and allow for the posting of reviews, comments, or other content posted by users (“User Content”). We cannot guarantee the accuracy or completeness of User Content. We are not responsible if the “User Content” portrays You in an unfavorable light. If You believe that a negative user content review is baseless and bring such review to Our attention by sending Us a written notice by emailing us, We will take reasonable steps to ascertain if the user who is the author of the negative review has actually transacted business with You. If We are able to ascertain that the user has not in fact transacted business with you, or if We are unable to ascertain whether or not the user has transacted business with you, We will take down the negative review. However, if the user has transacted business with You and is expressing his/her opinion and We keep the review displayed on our website, then You will have an opportunity to add your comments to the review as well. In any event, You agree that any such defamatory user content is not Our fault and agree not to bring any claims or lawsuits against Us arising out of any such user content.
  7. Miscellaneous:
  8. This Agreement is the final understanding between both parties. If a court finds that any provision of this Agreement is invalid, the remaining sections of this Agreement will remain in full force and effect. This Agreement may not be amended unless in a writing signed by both parties. This Agreement shall be subject to the laws of the State of New York without reference to its conflict of law rules. Both parties agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of New York. BOTH PARTIES HAVE VOLUNTARILY AGREED TO WAIVE ANY AND ALL RIGHT TO A TRIAL BY JURY. A signed copy of this Agreement delivered by fax or email or digitally accepted by You online shall be deemed to have the same legal effect as delivery of an original signed copy.

I authorize MUNCH ADO, INC. to charge the below credit card or ACH $2,500.00 as a set-up fee today, $2,500.00 when the marketing goes live, and then $2,500.00 monthly on the anniversary of that date.

I authorize my bank to debit my account as identified below to the terms stated here. This authorization shall remain in effect until Munch Ado and bank receive written notification from me of intent to terminate at such time and in such manner as to afford Munch Ado and bank reasonable opportunity to act (minimum 30 days). I authorize this plan to continue as long as the payment amount remains unchanged or unless the plan is terminated earlier by me as above. I understand any added amounts can be applied for with a new ACH Debit Authorization Form. All other changes such as payment amount, frequency, or bank account number, will require a new ACH Debit Payment Authorization Form to be filled out and submitted to Munch Ado fifteen (15) days prior to any change being implemented. I understand that this payment plan may be cancelled by Munch Ado or the ACH Merchant due to Non-sufficient Funds (NSF). I will be liable to pay an NSF fee of $25.00 (or the amount allowable by law), which may be automatically debited for each NSF. I represent and warrant that I am authorized to execute this payment authorization for the purpose of implementing this payment plan. I indemnify and hold the Munch Ado, the bank, and the ACH Merchant harmless from damage, loss or claim resulting from all authorized actions hereunder.
